Article V:  President

 

  1. The President shall be the Chief Executive Officer of the Corporation. The President shall preside at all meetings of the Corporation and the Board of Directors. He/she may call any special meeting of the members of the Board of Directors and shall have, subject to the advice and control of the Directors, general charge of the business of the Corporation. In addition, he/she shall execute with the Secretary, in the name of the Corporation, all certificates of membership, contracts and financial instruments, other than bank checks, which have been approved by the Board of Directors.

 

  1. The President shall be responsible to the Board of Directors for the operation of the Corporation. He/she shall make and enforce, with advice and recommendation from the Corporate Officers, decisions regarding the suitability of all aircraft, equipment and the qualifications of Corporation members. The President shall make recommendations to the Board of Directors concerning additions, deletions and amendments to the Corporate Bylaws and Operating Rules of the Corporation. The President shall report to the Board, to include recommendations, regarding violations of such rules by any member of the Corporation.

 

  1. A candidate for President must be an owner-member for a minimum of two consecutive years to serve as President of the Corporation. At his/her discretion, the President shall impose a monetary fine to those owner-members who fail to adhere to the Bylaws and Operating Rules concerning operation of the Corporation aircraft.
